About the Role

We are seeking a talented Manager – (Sale & Purchase Agreement) SPA Director to support the Partner in leading and growing our SPA Advisory practice. This senior role focuses on ensuring seamless delivery of SPA-related advice for complex transactions involving private equity firms, corporate investors, family offices, and privately held enterprises.

You will work closely with the Partner to manage client engagements, oversee technical delivery, and mentor the team, while contributing to business development and operational excellence. This role offers a clear and structured pathway to Partnership for the right candidate.

What you’ll do

  • Manage day-to-day delivery of SPA advisory engagements, including drafting and reviewing SPA terms.
  • Support the Partner in developing strategies for client growth.
  • Act as a key point of contact for clients, building strong relationships and delivering exceptional service.
  • Provide technical expertise on completion accounts, locked box mechanisms, and purchase price adjustments.
  • Oversee workflow, resource allocation, and ensure deadlines are met.
  • Mentor and coach team members, fostering a culture of collaboration and technical excellence.
  • Contribute to business development initiatives and identify opportunities for additional services.

What we’re looking for

  • Significant experience in SPA advisory and transaction support gained in a Big 4 or Advisory firm.
  • Strong technical knowledge of completion mechanisms and risk allocation strategies.
  • Proven ability to manage complex engagements and deliver high-quality outcomes.
  • Excellent leadership and team management skills.
  • Professional qualifications (CA, CPA, or legal background) highly regarded.
