About the Role
We are seeking an experienced SPA Partner to lead and grow our SPA Advisory practice. This senior leadership role focuses on delivering specialist advice on Sale and Purchase Agreements (SPAs) for complex transactions involving private equity firms, corporate investors, family offices, and privately held enterprises.
You will combine deep technical expertise with commercial insight, driving business development, revenue growth, and team leadership while acting as a trusted advisor on SPA-related matters throughout the transaction lifecycle.
What you’ll do
- Lead and deliver SPA advisory services, including drafting, reviewing, and negotiating SPA terms.
- Advise clients on completion and locked box mechanisms, purchase price adjustments, earn-outs, and warranty & indemnity provisions.
- Provide strategic input on risk allocation and deal structuring to protect client interests.
- Drive business development initiatives, build strong networks, and achieve revenue growth targets.
- Lead and mentor a high-performing team of SPA specialists and transaction advisors.
- Collaborate with Transaction Services, Tax, and Legal teams to ensure seamless client outcomes.
What we’re looking for
- Extensive experience at Partner (or equivalent level) in SPA advisory and transaction support, ideally within Big 4 or leading advisory firms.
- Strong technical knowledge of completion accounts, locked box mechanisms, and purchase price adjustments.
- Demonstrated ability to generate revenue and develop new business opportunities.
- Exceptional leadership and people management skills.
- Professional qualifications (CA, CPA, or legal background) highly regarded, experience in M&A essential.
