Sale and Purchase Agreements Associate Director

About the Role

We are seeking a talented Manager – (Sale & Purchase Agreement) SPA Associate Director to play a key role in the day-to-day delivery of SPA advisory services for private equity firms, corporate investors, and privately held enterprises. 

You will work closely with Directors and Partners, ensuring seamless execution of client engagements, while mentoring junior team members and contributing to the growth of the SPA Advisory practice.

What you’ll do

• Manage the end-to-end delivery of SPA advisory projects, ensuring accuracy and timeliness.
• Support Directors and Partners in handling complex matters such as purchase price adjustments, earn-outs, and warranty & indemnity provisions.
• Act as a key point of contact for clients, building strong relationships and delivering exceptional service.
• Mentor and coach junior staff, fostering technical development and professional growth.
• Assist in identifying opportunities for additional services and contribute to business development initiatives.

What we’re looking for

• Extensive experience in SPA advisory and transaction support gained in a Big 4 or Advisory firm.
• Strong technical knowledge in completion accounts and locked box mechanisms.
• Proven ability to manage multiple engagements and deliver high-quality outcomes.
• Excellent leadership and team development skills.
• Professional qualifications (CA, CPA, or legal background) essential.
